NQ Solicitor – Equity Incentives

The role

A Newly Qualified Solicitor is sought to join the Equity Incentives and Employee Ownership team at Fieldfisher, within the Tax and Private Client department. This role will focus on assisting with a diverse range of projects for various clients, including start-ups, growth companies, and listed corporations, involving the design and implementation of equity-based incentive plans and employee ownership structures.

What you'll do

• Advise on the legal and tax aspects of employee share plans, including EMI, CSOP, growth shares, and bespoke arrangements
• Advise businesses on conversions to EOT-ownership including advising on qualifying bonus plans and assisting with governance arrangements
• Support transactional work, including M&A and investment rounds, with a focus on equity incentives due diligence and documentation
• Draft plan rules, option agreements, trust deeds, shareholder resolutions, and board minutes
• Conduct legal research and prepare client briefings and internal know-how
• Assist with business development initiatives, including writing posts for social media
