The role

Clayton Utz is seeking a Deputy General Counsel for its Office of General Counsel in Sydney, Australia. This role is for a senior lawyer with over 6 years of experience, focusing on advising firm leadership on commercial and compliance matters related to the firm's operations.

What you'll do

Advise partners and senior stakeholders on commercial legal matters and legal profession compliance, including the identification and management of conflicts of interest
Review, draft, and negotiate contracts such as client engagement terms, supplier agreements, confidentiality agreements, escrow agreements, and reliance letters
Manage conflicts of interest processes, including use of Intapp as required
Proactively manage commercial and compliance risks, providing clear recommendations and practical solutions
Support the development and implementation of risk mitigation strategies
Ensure compliance with relevant internal policies, legal profession laws, and regulatory requirements

What we're looking for

Minimum 6 years post-qualification experience

Experience in a comparable role within a law firm's in-house or general counsel function

Strong knowledge of Australian contract law, corporate law, and regulatory compliance

Demonstrated familiarity with conflicts management, including proficiency in Intapp or equivalent conflicts management systems

Strong drafting, negotiation, and contract advisory skills across a range of commercial agreements

High professional standards, with a commitment to accuracy, ethical conduct, and discretion

Sound critical thinking and problem-solving abilities, with a practical and commercial focus

Confidence to provide frank advice and navigate differing perspectives
