The role
Thomsons is seeking a Senior Associate / Special Counsel for their Corporate team in Brisbane with a focus on M&A. This role is for an experienced lawyer looking to provide pragmatic legal advice to corporate clients and develop their career within a leading national law firm.
What you'll do
- Work closely with experienced and respected Partners specializing in private M&A transactions
- Draft and negotiate shareholders agreements, joint venture arrangements and other general commercial contracts
- Advise on restructures
- Provide general corporate advisory
What we're looking for
Solid experience and exposure to private M&A transactions with a mid-market focus, gained in mid to top-tier firms
Solid experience with drafting and negotiating transaction documents, including share sale agreements, asset sale agreements, shareholders agreements
Solid experience with leading due diligence processes, including co-ordinating various due diligence workstreams and preparing legal due diligence reports
Willingness to have a hands-on approach as a client-focused practitioner
Great relationship-building and communication skills
Willingness and ability to understand clients' commercial needs and objectives and provide solutions to achieve these
Ability to provide sound, pragmatic and innovative legal advice to the firm's corporate clients
Good contract drafting skills, legal analysis and problem solving skills to varied situations
Excellent attention to detail and analytical skills backed up by strong academics
A thirst to develop
Working understanding of considerations relevant to private equity and financial sponsor clients· nice to have
