The role
Baker McKenzie is seeking a Mid/Senior-Level Associate for its Global Equity Services/Compensation practice in its Chicago, Los Angeles, or New York office. This role focuses on advising clients on domestic and global incentive and compensation arrangements, with a focus on share-based plans, and involves tax, securities, and employment law considerations.
What you'll do
- Assist clients in designing, implementing and maintaining global incentive and compensation arrangements
- Draft correspondence, memoranda, legal opinions, and other client-related documents
- Advise on legal/regulatory/tax matters associated with global compensation arrangements in cross-border M&As, spin-offs, divestitures, IPOs and redomestications
- Remain current on issues of U.S. and non-U.S. securities, tax, currency control, employment, and other laws affecting compensation arrangements
What we're looking for
Three to six years of experience assisting clients in designing, implementing and maintaining global incentive and compensation arrangements
Experience with share-based plans
Experience drafting correspondence, memoranda, legal opinions, and other client-related documents
Experience advising on legal/regulatory/tax matters associated with global compensation arrangements in cross-border M&As, spin-offs, divestitures, IPOs and redomestications
Strong academic credentials
Excellent communication and writing skills
Knowledge of U.S. and non-U.S. securities, tax, currency control, employment, and other laws affecting compensation arrangements
Experience advising on U.S. domestic executive compensation and other incentive arrangements
Experience with a strong global tax or global employment law background
Admitted and a member in good standing of the Bar in the state of employment
