The role

O'Melveny & Myers is seeking an Executive Compensation Mid-Level Associate with 3-6 years of experience in their Employment practice group for their Orange County office. This role focuses on drafting and analyzing executive compensation arrangements and advising on compensation and benefits matters in corporate transactions.

What you'll do

Draft and analyze equity and non-equity incentive compensation arrangements
Draft and analyze deferred compensation arrangements
Draft and analyze employment agreements
Draft and analyze severance and change in control arrangements
Prepare the compensation and benefits-related portions of securities filings required by the SEC
Identify and solve executive compensation and benefits related issues that arise in the context of mergers and acquisitions, private equity investments, and other corporate transactions

What we're looking for

3-6 years of experience

Experience in drafting and analyzing equity and non-equity incentive compensation arrangements, deferred compensation arrangements, employment agreements, and severance and change in control arrangements

Experience in preparing the compensation and benefits-related portions of securities filings required by the SEC

Experience in identifying and solving executive compensation and benefits related issues that arise in the context of mergers and acquisitions, private equity investments, and other corporate transactions
