The role
WilmerHale's Tax practice is seeking an associate with 3-6 years of post-JD experience to join their Washington, DC, Boston, or New York office. The role focuses on advising clients on executive compensation, equity incentive arrangements, and various corporate transactions.
What you'll do
- Interact with clients and coordinate with corporate, tax, and securities teams
- Provide day to day, and transactional-specific, advice on tax qualified and nonqualified retirement plans, welfare plans, and related compliance matters
What we're looking for
Juris Doctor

Experience in executive compensation and equity incentive arrangements in connection with public and private M&A transactions, spin offs, and other corporate transactions
Experience with design, drafting, and administration of equity incentive plans, time- and performance-based vesting award agreements, and executive employment, severance, and change in control agreements
Experience advising on Sections 83, 421-424, 409A, 280G, 162(m), and related Code provisions
Experience with day to day, and transactional-specific, advice on tax qualified and nonqualified retirement plans, welfare plans, and related compliance matters
Strong analytical and writing skills
Willingness to positively contribute to an exceptionally collaborative work environment
