Executive Compensation & Benefits Associate (3-6y) at WilmerHale

The role

WilmerHale's Tax practice is seeking an associate with 3-6 years of post-JD experience to join their Washington, DC, Boston, or New York office. The role will focus on executive compensation and equity incentive arrangements within various corporate transactions, and advising on relevant tax code provisions.

What you'll do

Advise on Sections 83, 421-424, 409A, 280G, 162(m), and related Code provisions
Provide day to day, and transactional-specific, advice on tax qualified and nonqualified retirement plans, welfare plans, and related compliance matters
Interact with clients and coordinate with corporate, tax, and securities teams

What we're looking for

Three to six years of post-JD experience

Experience in executive compensation and equity incentive arrangements in connection with public and private M&A transactions, spin offs, and other corporate transactions

Experience in design, drafting, and administration of equity incentive plans, time- and performance-based vesting award agreements, and executive employment, severance, and change in control agreements

Experience advising on Sections 83, 421-424, 409A, 280G, 162(m), and related Code provisions

Experience providing day to day, and transactional-specific, advice on tax qualified and nonqualified retirement plans, welfare plans, and related compliance matters

Experience with client interaction and coordination with corporate, tax, and securities teams

Juris Doctor

Licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based

Strong analytical and writing skills

Willingness to positively contribute to an exceptionally collaborative work environment
