Senior Associate (5 - 9 years)

The role

Ropes & Gray is seeking a Senior Associate with 5-9 years of experience for its Real Estate Investments and Transactions Group in Boston. This role involves advising clients on complex real estate transactions, including acquisitions, dispositions, and capital raising structures.

What you'll do

• Oversee all aspects of matters involving sophisticated real estate transactions
• Provide legal counsel to investment firms, private equity firms, pension trusts, operating companies, private investors, foundations, education and health care institutions, and other entities in evaluating, negotiating and structuring the acquisition or disposition of performing, distressed and other real estate investments
• Advise real estate investment clients on structuring and negotiating vehicles to raise and deploy capital, including joint ventures, investment funds, co-investments, participating loan investments, mezzanine loans, preferred equity, convertible equity interests, trusts, private real estate investment transactions, leveraged corporations, sale-leasebacks, ground leases, synthetic and leveraged leases, repurchase facilities, and other real estate-based arrangements
• Advise buyers, sellers and other participants in connection with the purchase and sale of real estate, real estate loans and other real estate related assets and investments across the full range of transactional variables
• Oversee and review transaction due diligence efforts and due diligence memoranda
• Lead and organize due diligence process for real estate transactions, including review of draft due diligence memoranda, supervision of junior lawyers and experts and preparation of findings for clients
• Negotiate and finalize agreements drafted and negotiated by junior attorneys including joint venture agreements, purchase and sale agreements, property management agreements, and lease agreement summaries
• Oversee transaction closing processes, including review of corporate documents to ensure proper execution and delivery of required agreements and confirm all documents reflect final business and legal terms
• Serve as primary point of contact for clients, outside advisors and opposing counsel in real estate transactions
• Independently oversee real estate transactions with direct client counseling in various industries, including, in particular, the private equity and investment sectors
• Analyze the legal and factual background of sophisticated real estate transactions and summarize for the purpose of training clients and junior attorneys
• Liaise directly with employees of company or institutional clients outside of transactions for purposes of relationship-building and business development
• Meet with law firm partners to discuss results and strategies with respect to same
• Assign research and drafting projects to junior attorneys
