Employee Benefits/Executive Compensation Associate (Mid-Level)

The role

Reed Smith seeks a mid-level Employee Benefits/Executive Compensation Associate with 2+ years of experience to join their Employment practice group in Pittsburgh. This role will focus on advising clients on employee benefit and executive compensation matters in transaction contexts.

What you'll do

• Conduct diligence on employee benefit and executive compensation plans and agreements in the context of a transaction
• Advise clients on material red flags
• Draft due diligence reports
• Draft legal documents, including amendments, restatements, and summary plan descriptions for pension, 401(k), and health and welfare plans
• Draft purchase agreements and ancillary agreements, employment contracts and other transaction related documents on matters pertaining to corporate law and employee benefits and executive compensation
• Advise clients on drafting and implementation of cash and cash-based incentive programs, equity and equity-based awards including stock option and restricted stock plans, and other transaction related incentive programs, including retention, change in control and severance plans or agreements for private companies
• Assist clients with the evaluation and administration of retirement and health and welfare plans, including the preparation of plan documents, summary plan descriptions, amendments, and corrective filings under applicable government correction programs
• Conduct diligence on clients’ target entities and applicable employee benefit and executive compensation plans, programs and agreements
• Summarize diligence materials
• Prepare filings under IRS correction program
• Prepare IRS qualified plan determination letter filings
• Advise clients regarding material developments in law related to qualified retirement plans and health and welfare plans, to ensure compliance
