Lateral Attorney at Kirkland & Ellis

The role

Kirkland & Ellis LLP is seeking a Lateral Attorney for their Bay Area/San Francisco office. This role focuses on complex corporate transactions within the M&A/Private Equity practice group, advising corporate and private equity clients.

What you'll do

Advise corporate and private equity clients in complex corporate transactions
Advise on transactions in U.S. and international jurisdictions
Advise corporate and private equity clients on a broad range of transaction structures, including mergers, stock and asset acquisitions and divestitures, minority investments, joint ventures, corporate restructurings, arrangements, and amalgamations, across public and private company transactions
Draft and revise merger agreements, stock and asset purchase agreements, arrangement and amalgamation agreements, underwriting agreements, private placement memorandums, subscription agreements, indentures, credit agreements, lock-up agreements, registration rights agreements, investor rights agreements, joint venture agreements, operating agreements, transition services agreements, articles and bylaws, bid letters, term sheets, confidentiality agreements, and other ancillary transaction documents
Conduct and oversee comprehensive due diligence reviews of commercial contracts, financing arrangements, corporate organizational documents, and other corporate materials
Identify legal risks and prepare detailed due diligence reports
Manage transaction deal teams
Coordinate with internal specialists
Organize deal workflows
Maintain closing checklists
Support execution through signing and closing
Supervise junior associates

What we're looking for

Juris Doctor or LL.M. degree, or foreign equivalent

Admission to the California state bar

At least five (5) years of experience as an Associate, Law Clerk, or related role/job/occupation with a corporate law firm focusing on corporate M&A transactions and private equity matters

Experience advising on transactions in U.S. and international jurisdictions

Experience advising corporate and private equity clients on a broad range of transaction structures, including mergers, stock and asset acquisitions and divestitures, minority investments, joint ventures, corporate restructurings, arrangements, and amalgamations, across public and private company transactions

Experience drafting and revising merger agreements, stock and asset purchase agreements, arrangement and amalgamation agreements, underwriting agreements, private placement memorandums, subscription agreements, indentures, credit agreements, lock-up agreements, registration rights agreements, investor rights agreements, joint venture agreements, operating agreements, transition services agreements, articles and bylaws, bid letters, term sheets, confidentiality agreements, and other ancillary transaction documents

Experience conducting and overseeing comprehensive due diligence reviews of commercial contracts, financing arrangements, corporate organizational documents, and other corporate materials, identifying legal risks, and preparing detailed due diligence reports

Experience managing transaction deal teams, coordinating with internal specialists, organizing deal workflows, maintaining closing checklists, and supporting execution through signing and closing
