Senior Associate - Corporate, Capital Markets

The role

Howard Kennedy is seeking a Senior Associate for its Capital Markets practice in London. This role focuses on developing the firm's equity capital markets offering, advising UK and international clients on transactions like IPOs, secondary fundraisings, and public M&A.

What you'll do

• Lead and advise on equity capital markets transactions, including IPOs, secondary fundraisings and public M&A
• Advise listed companies on ongoing disclosure obligations and compliance with applicable market regulations, including the UK Listing Rules, AIM Rules and market abuse regime
• Lead the drafting, review and negotiation of transaction documentation, including admission documents, prospectuses, placing agreements, shareholder circulars and announcements
• Manage legal due diligence and disclosure exercises
• Lead verification processes in relation to public documents
• Coordinate brokers, nominated advisers, accountants and other professional advisers throughout transactions
• Manage client relationships and act as a trusted adviser on a range of capital markets and corporate matters
• Support and contribute to business development initiatives and profile-raising activities
• Supervise, mentor and develop junior lawyers within the team
• Manage matters efficiently and provide commercially focused, pragmatic legal advice
