The role
Paul Hastings LLP is seeking a WDC Securities & Capital Markets Senior Associate for their Washington D.C. office. This role is for an experienced attorney with at least 3 years of PQE in securities and capital markets, focusing on advising clients on shareholder engagement, governance, and activist investor matters.
What you'll do
- Prepare strategic risk assessments for clients
- Advise clients on shareholder engagement strategies
- Advise clients on strategies for interacting with the leading proxy advisory firms
- Advise clients on board governance and fiduciary duty issues
- Review and revise corporate charter documents
- Review and revise corporate governance policies
- Advise clients on responding to notices of nomination and shareholder proposals from activist investors
- Advise clients on responding to shareholder demands to inspect books and records
- Advise clients on the adoption and implementation of structural defenses
- Prepare Schedule 14A contested form of proxy statements and letters to the SEC
- Respond to SEC comment letters on proxy solicitation materials
- Prepare Rule 14a-12 proxy solicitation filings
- Prepare investor communications and shareholder communication materials
- Negotiate settlement agreements with activist investors
What we're looking for
Juris Doctor or foreign equivalent degree
3 years of experience working in securities regulation
3 years of experience advising on matters related to the Securities Exchange Act of 1934
3 years of experience advising on SEC proxy rules
3 years of experience advising on Schedule 14A
3 years of experience advising on Current Reports on Form 8-K
3 years of experience advising on Periodic Reports on Forms 10-K and 10-Q
3 years of experience advising on Schedule 13D
3 years of experience advising on corporate governance
3 years of experience advising on board advisory matters
3 years of experience advising on NYSE and NASDAQ compliance
3 years of experience working with proxy contests and shareholder activism matters
3 years of experience structuring and documenting public company mergers and acquisitions
Eligibility for admission to the DC bar within 9 months of commencement of employment
Benefits
Telecommuting permitted in accordance with firm policy
Salary of $420,000 to $435,000 per year
