Technology IP Transactions - Junior Associate

The role

Goodwin is seeking a junior associate for its Strategic Technology Transactions and Licensing group in San Francisco. This role will focus on IP licensing and technology transactions, as well as IP aspects of corporate deals like M&A and venture financings.

What you'll do

• Work on IP licensing and other technology transactions
• Conduct IP support of M&A, venture financings and other corporate transactions
• Perform IP and technology due diligence in M&A, venture financings and other corporate transactions
• Gain meaningful experience drafting and negotiating technology and IP license agreements
• Draft and negotiate customer agreements (including SaaS agreements)
• Draft and negotiate channel partner agreements (including OEM, VAR and other reseller agreements)
• Draft and negotiate collaboration and other strategic alliance agreements
