Technology IP Transactions - Junior Associate at Goodwin

The role

Goodwin is seeking a Junior Associate for its Strategic Technology Transactions and Licensing group in Silicon Valley. This role focuses on IP licensing and technology transactions, with a particular emphasis on IP due diligence for M&A and financings, for candidates with a strong interest in technology and commercial law.

What you'll do

Work on IP licensing and other technology transactions
Provide IP support for M&A, venture financings and other corporate transactions, including IP and technology due diligence
Gain meaningful experience drafting and negotiating technology and IP license agreements
Gain meaningful experience drafting and negotiating customer agreements (including SaaS agreements)
Gain meaningful experience drafting and negotiating channel partner agreements (including OEM, VAR and other reseller agreements)
Gain meaningful experience drafting and negotiating collaboration and other strategic alliance agreements

What we're looking for

Outstanding academic credentials

Comparable law firm experience

Excellent written and verbal communication skills

Relevant bar admission (or eligibility to obtain admission promptly)

Deal sheet required

Some experience with, or a demonstrated interest in, technology transactions, IP or related commercial work

Strong drafting, analytical and organizational skills

Keen attention to detail

Ability to manage multiple matters in a fast-paced environment

Genuine curiosity about technology, including the issues presented by AI and open source software· nice to have
