The role
Goodwin is seeking a junior associate for its Strategic Technology Transactions and Licensing group in Los Angeles. The role focuses on IP licensing, technology transactions, and IP support for M&A and financings.
What you'll do
- Work on IP licensing and other technology transactions
- Provide IP support for M&A, venture financings and other corporate transactions
- Conduct IP and technology due diligence
- Draft and negotiate technology and IP license agreements
- Draft and negotiate customer agreements (including SaaS agreements)
- Draft and negotiate channel partner agreements (including OEM, VAR and other reseller agreements)
- Draft and negotiate collaboration and other strategic alliance agreements
What we're looking for
Outstanding academic credentials
Comparable law firm experience
Excellent written and verbal communication skills
Relevant bar admission (or eligibility to obtain admission promptly)
Deal sheet required
Some experience with, or a demonstrated interest in, technology transactions, IP or related commercial work
Strong drafting, analytical and organizational skills
Keen attention to detail
Ability to manage multiple matters in a fast-paced environment
Genuine curiosity about technology, including the issues presented by AI and open source software· nice to have
