The role
A&O Shearman is seeking a Legal Consultant (interim) with 5+ PQE in Corporate M&A for their platform in the UAE, based in Dubai or Abu Dhabi. This role offers the opportunity to work on high-profile M&A transactions, acting as a self-directed consultant lawyer with access to firm resources.
What we're looking for
Minimum of five years' post-qualification experience at a law firm ranked as top tier for Corporate/M&A work
Practising certificate (or equivalent) which entitles them to practise as a lawyer in the region
Experience in drafting and negotiating share purchase agreements, asset purchase agreements, shareholders’ agreements and joint venture documentation
Experience advising on corporate governance, restructuring and foreign ownership regimes
Experience coordinating regulatory approvals with the DFSA, ADGM FSRA, SCA and CBUAE
Experience leading and managing buy-side and sell-side due diligence
Experience structuring complex cross-border and Shari’a-compliant transactions
Experience supporting organisations on pre- and post-completion integration, reorganisations and corporate secretarial matters across free zones and onshore regimes
Desire to take ownership of their career and be responsible for their own professional development and network
Comfortable with the ways in which consulting differs from permanent employment
A consultant mindset, including a highly professional, flexible and adaptable outlook and approach
Recent in-house experience supporting M&A execution or corporate development matters· nice to have
Experience in the Middle East· nice to have
Fluency in Arabic· nice to have
