The role
A&O Shearman is seeking an interim Legal Consultant with 5+ years of PQE in Funds law to be based in Dubai, UAE. This role involves supporting investment teams and senior management on the full lifecycle of investment vehicles and ensuring regulatory compliance.
What you'll do
- Support investment teams and senior management on the full lifecycle of conventional and Shari’a-compliant investment vehicles
- Advise on the structuring, formation, and ongoing management of investment funds
- Ensure regulatory compliance with DFSA and SCA requirements
- Support transactional activity across our asset management platform
What we're looking for
Minimum of five years' post-qualification experience at a law firm ranked as top tier for funds work
Practising certificate (or equivalent) which entitles them to practise as a lawyer in the region
Experience in drafting and negotiating fund documentation (LPA, PPM, subscription agreements, side letters, management/advisory agreements)
Experience advising on GP/LP governance and carry structures
Experience coordinating regulatory approvals with the DFSA, ADGM FSRA, SCA and CBUAE
Experience leading fund closings
Experience assisting on secondary transactions and co-investments
Experience supporting organisations on asset-management M&A, carried interest re-organisations and incentive schemes
Strong technical expertise in funds law
Commercial mindset
Ability to work closely with investment professionals and regulators
Recent in-house legal experience in Fund Structuring and Formation· nice to have

Fluency in Arabic· nice to have
