The role
Thomsons is seeking a Senior Associate or Special Counsel to join its Corporate team in Brisbane. This role will focus on private M&A transactions, restructures, and general corporate advisory, working closely with experienced partners.
What you'll do
- Work closely with experienced and respected Partners specialising in private M&A transactions
- Draft and negotiate shareholders agreements, joint venture arrangements and other general commercial contracts
- Work on restructures
- Provide general corporate advisory
What we're looking for
Solid experience and exposure to private M&A transactions with a mid-market focus, gained in mid to top-tier firms
Solid experience with drafting and negotiating transaction documents, including share sale agreements, asset sale agreements, shareholders agreements
Solid experience with leading due diligence processes, including co-ordinating various due diligence workstreams and preparing legal due diligence reports
Willingness to have a hands-on approach as a client-focused practitioner, with great relationship-building and communication skills
Willingness and ability to understand clients' commercial needs and objectives and provide solutions to achieve these
Provide sound, pragmatic and innovative legal advice to the firm's corporate clients
Good contract drafting skills, legal analysis and problem solving skills to varied situations
Excellent attention to detail, analytical skills backed up by strong academics
A thirst to develop as this is a role that offers genuine career development
Working understanding of considerations relevant to private equity and financial sponsor clients· nice to have
