The role
DLA Piper is seeking an Of Counsel with 8+ years of experience in Securities law to join their Phoenix, New York, or San Diego offices. This role focuses on public company reporting, corporate governance, and capital markets for clients in the life science, technology, and digital asset sectors.
What you'll do
- Conduct thorough and comprehensive legal research and analysis
- Draft well-written, error free, and reasoned legal documents, including memos, contracts, and correspondence
- Assist/Manage a variety of complex transactions from inception to resolution
- Build, maintain, and cultivate strong internal and external client relationships
- Provide support, regular updates, advice, and address concerns promptly and with the utmost professionalism
- Work collaboratively with other lawyers and business professionals
- Attend, support, and participate in high-level legal activities including client calls and meetings, negotiations
- Ensure rigorous compliance with legal standards and regulations
- Stay abreast of changes in law and legal precedents
- Proactively seek out and participate in ongoing training and development opportunities
- Engage in and contribute to firm programs and initiatives, civic and professional organizations, and pro bono work
What we're looking for
JD degree from an accredited law school
Admitted to practice in the state in which you are officing
Minimum 8 years of public company and capital markets experience
Experience working with public companies with their on-going periodic reporting
Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934
Strong knowledge of Nasdaq and New York Stock Exchange listing and governance requirements
Experience working with issuers, underwriters and other financial intermediaries in structuring and executing innovative and complex securities offerings
Experience providing disclosure advice
Excellent written and verbal communication abilities
Strong research, analytical and problem-solving skills
Attention to detail

Experience working in a large firm· nice to have
