Ropes & Gray is seeking an experienced Associate with 3-6 years of PQE for its Funds practice in San Francisco. This role focuses on providing legal advice to clients on registered investment companies and their advisers, covering fund formation, compliance, and regulatory matters.
What you'll do
- Provide legal advice and guidance to clients on the full range of matters related to registered investment companies, including mutual funds, exchange-traded funds (ETFs), listed closed-end funds, interval funds, tender offer funds, and business development companies, and their trustees/directors
- Advise investment advisers on all their business and regulatory matters
- Work closely with clients, internal teams, and regulatory authorities to ensure compliance with applicable laws and regulations
- Provide legal counsel and guidance to clients on matters related to registered investment companies and their advisers and boards
- Provide advice regarding product development, including novel product designs
- Review and draft legal documents, including prospectuses, statements of additional information, and shareholder reports
- Conduct legal research and analysis on novel issues, including review of relevant laws, regulations, and industry trends
- Advise clients on compliance with securities laws, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934
- Represent clients in interactions with regulatory authorities, such as the Securities and Exchange Commission (SEC) and state securities regulators
- Collaborate with clients, including lawyers, portfolio managers, product development, and compliance officers, to ensure legal compliance and address any legal issues that may arise
- Provide subject matter expertise in related practices, such as mergers and acquisitions in the financial services industry
- Provide training and guidance to junior attorneys and legal staff
What we're looking for
Minimum of 3 to 6 years of legal experience practicing as a Registered Funds Attorney
A J.D. degree from an accredited law school
Admission to the bar in the relevant jurisdiction to which you are applying
Strong knowledge of securities laws and regulations, particularly those related to registered investment companies and registered investment advisers
Ability to communicate complex legal concepts effectively to clients and internal stakeholders
Excellent analytical, research, and problem-solving skills
Ability to build and maintain relationships with clients and colleagues
Flexibility to work both independently and as part of a global team
Proficiency in the responsible and ethical use of artificial intelligence technologies will be preferred, including the ability to identify appropriate use cases, protect confidentiality, verify outputs, and apply independent legal judgment· nice to have
