The role
Ropes & Gray is seeking an Associate for its Funds practice in Los Angeles. This role is for an attorney with 2-7 years of experience in transactional or fund work, focusing on advising large investors on complex global transactions.
What you'll do
- Draft, review, and negotiate transaction documents related to complex transactions across asset classes, including private equity, credit, real estate, venture capital, and infrastructure
- Advise on deal structuring, governance arrangements, and regulatory considerations across global transactions
- Prepare and review transaction agreements, limited partnership agreements, subscription documents, side letters, and related documentation
- Collaborate with colleagues across Ropes & Gray's cross-disciplinary transactional, tax, finance and regulatory teams, to deliver integrated client solutions
- Manage multiple concurrent transactions from term sheet through closing
What we're looking for
J.D. from an accredited law school
Admission to practice in the relevant jurisdiction
Two to seven years of transactional or fund experience at a major law firm
Exposure to private equity or fund formation transactions
Demonstrated experience drafting and negotiating complex investment and/or fund-related agreements
Strong written and verbal communication skills with keen attention to detail
Ability to work both independently and collaboratively in a team environment
Interest in leveraging AI technology and other emerging legal tools to improve the quality and efficiency of proficient legal work
