Corporate/M&A/Private Equity Associate (Mid-Level)
Key requirements
3-6 years of experience representing private equity funds, institutional investors, family offices, alternative asset managers, and their portfolio companies in leveraged buy-outs, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate portfolio company matters Hands on drafting and negotiating experience for complex M&A and private equity transactions and related investment agreements Experience as a key member of deal teams, including responsibility for leading/co-leading client communications, co-leading negotiation calls, producing acquisition, equity and related documents in a client-ready format, and running key aspects of transactions, from due diligence through closing Experience across a range of transaction sizes, preferably with experience in the middle market
The role
Reed Smith is seeking a mid-level Corporate/M&A/Private Equity Associate for their Chicago office. The role focuses on representing private equity funds and related entities in a variety of M&A and private equity transactions, requiring 3-6 years of relevant experience.
What you'll do
- Represent private equity funds, institutional investors, family offices, alternative asset managers, and their portfolio companies in leveraged buy-outs, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate portfolio company matters
- Draft and negotiate complex M&A and private equity transactions and related investment agreements
- Serve as a key member of deal teams
- Lead/co-lead client communications
- Co-lead negotiation calls
- Produce acquisition, equity and related documents in a client-ready format
- Run key aspects of transactions, from due diligence through closing
What we're looking for
