The role
Cooley LLP is seeking a Capital Markets (Securities) associate with 2-7 years of PQE for its Palo Alto office. This role will focus on representing companies and underwriters in public securities offerings and advising public companies on corporate governance and SEC compliance, with an emphasis on the technology, consumer/retail, and life sciences sectors.
What you'll do
- Represent companies and/or underwriters in public securities offerings
- Represent public companies in a wide variety of matters including corporate governance and SEC and exchange reporting and compliance
- Manage client relationships
- Handle the day-to-day demands and work flow requirements of a variety of clients with sophisticated needs
What we're looking for
2-7 years of capital markets and public securities experience
Experience representing companies and/or underwriters in public securities offerings, including IPOs and other equity or equity-linked transactions
Experience representing public companies in corporate governance and SEC and exchange reporting and compliance
Experience managing client relationships and handling day-to-day demands and workflow requirements
Experience in the technology, consumer/retail and life sciences sectors
Experience working in the capital markets department of a national or international law firm
High level of academic achievement from a nationally recognized law school
