The role

Sidley Austin LLP is seeking a Prudential Bank Regulatory Associate with 2+ years of experience to join their Washington D.C. office. This role focuses on advising banks, bank holding companies, and financial services companies on U.S. federal and state banking laws and regulations, with a strong interest in the prudential bank regulatory framework.

What you'll do

  • Advise banks and fintechs, and other financial services companies on regulatory applications and chartering and licensing initiatives
  • Advise U.S. and non-U.S. banks, bank holding companies, and their affiliates on prudential regulatory requirements, including capital and liquidity, governance, and risk management
  • Advise on bank regulatory issues arising under the Bank Holding Company Act, National Bank Act, Federal Deposit Insurance Act, International Banking Act, Change in Bank Control Act, Community Reinvestment Act, and the Volcker Rule
  • Advise banks and bank holding companies on investments, activities, and mergers and acquisitions, affiliate transactions (Regulation W), fiduciary activities (Part 9), exceptions for banks from the definition of broker (Regulation R), insider transactions (Regulation O), activities conducted by non-U.S. banks and international operations of U.S. banks (Regulation K), control and non-control determinations (Regulation Y)
  • Counsel clients in responding to regulatory examinations, supervisory findings, and enforcement matters before the Federal Reserve, OCC, FDIC, and state banking agencies

What we're looking for

2+ years of experience advising banks, bank holding companies, their affiliates, and their investors and counterparties on prudential bank regulatory matters under U.S. federal and state banking laws
Basic understanding of the prudential bank regulatory framework and supervisory process
Strong interest in developing knowledge and skills in prudential bank regulatory topics
Admitted or eligible to seek prompt admission to the Washington D.C. bar
