Senior Associate / Special Counsel - Corporate at Thomsons

The role

Thomsons is seeking a Senior Associate or Special Counsel to join their Corporate practice in Sydney, focusing on M&A transactions. This role is for an experienced lawyer with a client-focused, commercially minded approach and strong team collaboration skills.

What you'll do

Drafting and negotiation of shareholders agreements, joint venture arrangements and other general commercial contracts
Co-ordinating various due diligence workstreams
Preparing legal due diligence reports
Provide sound, pragmatic and innovative legal advice to the firm's corporate clients

What we're looking for

Solid experience and exposure to private M&A transactions

Working understanding of considerations relevant to private equity and financial sponsor clients

Experience gained in mid to top-tier firms

Solid experience with drafting and negotiating transaction documents

Solid experience with leading due diligence processes

Willingness to have a hands-on approach as a client-focused practitioner

Great relationship-building and communication skills

Willingness and ability to understand clients' commercial needs and objectives and provide solutions

Provide sound, pragmatic and innovative legal advice

Good contract drafting skills

Legal analysis and problem solving skills

Excellent attention to detail

Analytical skills

Strong academics

A thirst to develop
