The role
Cooley seeks a Compensation & Benefits Attorney with 5+ years of experience to join their Private Equity practice group in Washington D.C. This role focuses on advising on executive compensation and employee benefits, particularly for private equity sponsors involved in acquisitions, divestitures, and portfolio company matters.
What you'll do
- Advise on executive compensation and employee benefits matters
- Represent private equity sponsors in acquisitions and divestitures
- Handle day-to-day portfolio company matters
- Grant profits interests and other LLC incentive awards
- Manage management holdco vehicles
- Structure rollover equity
- Negotiate employment and severance arrangements
What we're looking for
5+ years of experience advising on executive compensation and employee benefits matters
Experience representing private equity sponsors in acquisitions and divestitures
Experience handling day-to-day portfolio company matters, including grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements
Experience with mergers and acquisitions involving other privately held companies
Experience with IRC Sections 280G and 409A
Excellent academic credentials
Superior writing, oral communication and analytical skills
