Associate, Capital Markets

The role

White & Case is seeking a mid-level Associate with 4+ years of experience in Capital Markets, specifically US equity capital markets transactions, to join their Securities practice in New York. This role involves working on sophisticated domestic and cross-border equity and debt capital markets transactions for a range of clients.

What you'll do

• Advise public and private companies, underwriters and financial institutions on a wide range of capital markets transactions, including IPOs, registered follow-on and secondary offerings, SPAC IPOs, de-SPAC transactions, direct listings, private placements, PIPEs, ATM programs and other securities transactions
• Draft, review and negotiate transaction documentation, including registration statements, prospectuses, underwriting agreements, securities purchase agreements and offering memoranda
• Support public company clients with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials and SEC comment responses
• Take ownership of key aspects of transactions, managing drafting processes and coordinating execution with partners, clients, opposing counsel and internal teams
• Work on capital markets–adjacent M&A and strategic transactions, including tender and exchange offers, acquisitions, divestitures, business combinations, joint ventures and strategic collaborations
• Collaborate closely with colleagues across finance, tax, regulatory, intellectual property and M&A practices to deliver integrated, business-focused solutions
• Develop into a trusted advisor by gaining a strong understanding of both the legal and commercial aspects of transactions
• Contribute to the firm’s thought leadership in writing client alerts and submitting comment letters on SEC proposals
