Senior Associate - Banking, Future Energy

The role

The firm is seeking a Senior Associate with 4-7 PQE to join its Banking, Future Energy team in Bristol or London. This role is for a solicitor with genuine experience, enthusiasm, and market knowledge in project finance and the energy sector, who can lead on drafting and negotiation of key finance documents.

What you'll do

• Advise on a wide range of clean energy financings
• Take the lead on drafting and negotiating LMA facility agreements adapted with typical project finance provisions
• Draft and negotiate associated security, intercreditor documentation and hedging agreements
• Supervise Associates and Trainees in connection with the above
• Negotiate typical project finance ancillary finance documents such as equity support undertakings, direct agreements and collateral warranties
• Draft amendments, waivers and consents to existing transactions
• Supervise Associates in respect of amendments, waivers and consents to existing transactions
• Supervise Associates in the delivery of conditions precedent
• Supervise Associates in the management of financial close processes
• Supervise Associates in general project management
• Manage the due diligence output prepared in connection with project finance transactions
• Liaise with the due diligence teams
• Implement solutions to issues raised in the due diligence process in the finance documents and transaction structures
• Contribute to the team's knowledge sharing
• Contribute to precedent development and maintenance
• Support business development activities such as the provision of client training and preparation of client know-how materials
