Lateral Associate - Corporate: Executive Compensation (New York)

The role

Sullivan & Cromwell is seeking an experienced Lateral Associate with 2+ years of experience for its Executive Compensation group in New York. This role focuses on advising companies, boards, and executives on compensation matters within the context of corporate transactions and daily advisory work, with a strong emphasis on corporate governance, securities, disclosure, and tax considerations.

What you'll do

• Advise companies, boards of directors, compensation committees, management teams and individual executives on a wide range of compensation matters and arrangements
• Advise on compensation matters in extraordinary corporate events (including mergers and acquisitions, restructurings, initial public offerings, spin-offs and bankruptcies)
• Advise on compensation matters in the context of transition and succession planning
• Provide day-to-day advisory on compensation matters
• Provide advice on corporate governance, securities, disclosure, tax and regulatory considerations related to compensation arrangements
• Design and implement compensation arrangements that satisfy client objectives relating to transition and succession concerns, financial statement reporting, public disclosure, tax impacts on the company and the executive and regulatory considerations
• Collaborate with the Firm’s Employment Law Group to assist clients with a range of employment issues
