The role
Goodwin is seeking a mid-level Associate for its Life Sciences group in Silicon Valley. This role requires 3-4 years of experience in intellectual property licensing and technology transactions within the life sciences sector.
What you'll do
- Draft and negotiate intellectual property licenses
- Draft and negotiate joint development, collaboration, and other strategic alliance agreements
- Draft and negotiate technology licenses and services agreements
- Draft and negotiate distribution agreements
- Perform intellectual property and technology transaction due diligence for corporate transactions
- Perform intellectual property and technology transaction due diligence for technology transfers
What we're looking for
3-4 years of experience in intellectual property licensing, technology transfer, and other technology transactions
Experience in IP support of corporate transactions in the life sciences arena
Experience drafting and negotiating intellectual property licenses, joint development, collaboration, and strategic alliance agreements, technology licenses and services agreements, and distribution agreements
Experience performing IP and technology transaction due diligence for corporate transactions and technology transfers
Experience working in teams and managing substantial components of transactions independently
Outstanding academic credentials
Comparable law firm experience
Excellent written and verbal communication skills
Relevant bar admission (or eligibility to obtain admission promptly)
Experience in adjacent fields will be considered· nice to have
