Associate, Debt Finance

The role

The Debt Finance Practice is seeking mid-level and senior associates with at least four years of experience in managing and negotiating debt finance transactions. This role is for ambitious and service-minded individuals with strong interpersonal skills and an interest in domestic and cross-border financing. Associates will work with all finance partners and gain diverse experience in multi-jurisdictional transactions.

What you'll do

• Draft, review and negotiate commitment letters and term sheets as well as primary loan and security documentation and ancillary deliverables
• Prepare and review issues lists and summary grids
• Conduct legal research
• Manage deal teams and processes from initial discussions through closing and post-closing matters
• Manage and conduct due diligence
• Serve as primary point of contact for clients, opposing counsel and other transactional legal teams
• Assist clients with ongoing deal administration including joinders, amendments, interpretive questions, collateral matters, etc
• Provide direct assistance to senior lawyers on matters arising in the course of day-to-day provision of legal services to clients
• Attend and present educational seminars
• Exercise good judgment in internal and external written and verbal communications
• Mentor and train junior team-members
• Attend and participate in continuing education classes and client development initiatives
