The role

Goodwin is seeking a mid-level associate with 3-4 years of experience to join its Life Sciences group. The role focuses on intellectual property licensing, technology transfer, and IP support for corporate transactions within the life sciences sector, requiring expertise in drafting and negotiating various agreements and conducting due diligence.

• Draft and negotiate intellectual property licenses
• Draft and negotiate patent licenses
• Draft and negotiate trademark licenses
• Draft and negotiate joint development agreements
• Draft and negotiate collaboration agreements
• Draft and negotiate other strategic alliance agreements
• Draft and negotiate technology licenses
• Draft and negotiate services agreements
• Draft and negotiate software as a service agreements
• Draft and negotiate distribution agreements
• Perform intellectual property and technology transaction due diligence for corporate transactions
• Perform intellectual property and technology transaction due diligence for technology transfers
• Provide IP support (including intellectual property and technology transaction due diligence) of corporate transactions in the life sciences arena
