The role
Goodwin is seeking a mid-level associate with 3-4 years of experience in intellectual property licensing and technology transactions to join their Life Sciences group. The role will focus on drafting and negotiating IP licenses and strategic alliance agreements, as well as IP support for corporate transactions within the life sciences sector.
What you'll do
- Draft and negotiate intellectual property licenses (including patent and trademark licenses)
- Draft and negotiate joint development, collaboration, and other strategic alliance agreements
- Draft and negotiate technology licenses and services agreements (including software as a service agreements)
- Draft and negotiate distribution agreements
- Perform intellectual property and technology transaction due diligence for corporate transactions and technology transfers
- Provide IP support (including IP and technology transaction due diligence) of corporate transactions in the life sciences arena
What we're looking for
3-4 years of experience
Experience in intellectual property licensing, technology transfer, and other technology transactions
Experience in IP support (including IP and technology transaction due diligence) of corporate transactions in the life sciences arena
Experience drafting and negotiating intellectual property licenses (including patent and trademark licenses)
Experience drafting and negotiating joint development, collaboration, and other strategic alliance agreements
Experience drafting and negotiating technology licenses and services agreements (including software as a service agreements)
Experience drafting and negotiating distribution agreements
Experience performing intellectual property and technology transaction due diligence for corporate transactions and technology transfers
General experience working in teams
General experience managing substantial components of transactions independently
Outstanding academic credentials
Comparable law firm experience
Excellent written and verbal communication skills
Relevant bar admission (or eligibility to obtain admission promptly)
Experience in adjacent fields will be considered as part of the candidate's overall qualifications· nice to have
Experience that directly aligns with the core responsibilities and technical requirements of a licensing associate· nice to have
