Emerging Companies & Venture Capital Associate

The role

Mayer Brown seeks a 3-5 PQE Emerging Companies & Venture Capital Associate for their Salt Lake City office. This role focuses on advising startups, emerging growth companies, and venture capital investors on a range of matters including corporate formation, governance, financings, and general corporate advice throughout the company lifecycle.

What you'll do

• Counsel founders and emerging companies on entity formation, corporate governance, and equity incentive structures
• Draft and negotiate venture capital financing documents (including preferred stock purchase agreements, investors' rights agreements, voting agreements, and rights of first refusal and co-sale agreements)
• Advise on convertible note and SAFE transactions
• Counsel clients on general corporate matters throughout the growth cycle from seed stage through late-stage and pre-IPO
• Work closely with attorneys across corporate, equity compensation, M&A, capital markets, life sciences, and technology practices
