Mid-Level Capital Markets/M&A Associate at Holland & Knight

The role

Holland & Knight is seeking a mid-level associate for its Corporate M&A and Securities Practice. This role focuses on capital markets transactions and public company reporting and compliance, ideally for candidates with 3-5 years of PQE.

What you'll do

Represent issuers in public and private offerings of debt and equity securities
Interface with the SEC and other regulators
Counsel public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters
Prepare Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements

What we're looking for

3-5 years of experience

Experience with a variety of capital market transactions

Experience with public company reporting and compliance matters

Extensive experience representing issuers in public and private offerings of debt and equity securities

Experience interfacing with the SEC and other regulators

Experience counseling public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters

Experience with preparation of Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements

Strong interpersonal and communication skills

High degree of maturity and business sense

Ability to effectively manage internal and external client relationships

Excellent academic credentials

Additional experience with public and private company M&A· nice to have

Large regional, national or international law firm experience· nice to have
