The role
Wilson Sonsini is seeking 3rd to 7th year associates for its energy practice with a transactional focus. The role is for an attorney comfortable with analyzing and drafting key project development contracts, commercial agreements, and joint venture transactions, and supporting project acquisitions and financing.
What you'll do
- Analyze key project development contracts
- Draft key project development contracts
- Analyze framework commercial agreements
- Draft framework commercial agreements
- Analyze joint venture transactions
- Draft joint venture transactions
- Provide financing support for project and portfolio acquisitions
- Engage in daily direct contact with a wide range of clients
- Engage in daily direct contact with Wilson Sonsini partners
- Engage in daily direct contact with counterparty counsel
What we're looking for
3rd to 7th year PQE associates
Transactional experience in the energy sector
Comfort analyzing and drafting key project development contracts
Experience with power purchase agreements and other offtake arrangements
Experience working on framework commercial agreements
Experience with joint venture transactions
Experience serving as the go-to associate on project and portfolio acquisitions and related financing support
Ability to use and adapt a range of commercial structures for solar, wind, geothermal, natural gas, battery, nuclear projects, and data center and utility buyers
Desire to develop mastery of structuring and negotiating energy project development transactions
Strong communication skills
Strong project management skills
