The role
Winston Taylor seeks a mid-level Investment Funds Associate with 4-6 years of experience, primarily focusing on private equity fund formation. This role is for candidates with experience assisting sponsors on fund formation, reviewing fund documentation, and/or structuring governing documents for management companies, ideally with a working knowledge of securities rules and regulations.
What we're looking for

Experience reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms
Experience structuring and drafting governing documents pertaining to private equity fund management companies and general partners
Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act
Admitted to the state bar of their office location
Experience preferably at a large law firm or, in special circumstances, an in-house setting· nice to have
Experience with private equity secondary transactions· nice to have
Experience with GP-led restructurings· nice to have
