The role
Winston Taylor seeks a mid-level Capital Markets Associate with 3-6 years of PQE for its Securities practice in Houston. This role focuses on advising public and private companies on debt and equity offerings, SEC reporting, and corporate governance.
What you'll do
- Advise clients on day-to-day governance matters
- Advise clients on SEC and stock exchange compliance
- Advise clients on public company disclosure obligations
- Advise clients on other business and transactional matters
- Represent public and private companies in all types of capital-raising transactions
- Represent issuers and underwriters in IPOs and follow-on public offerings
- Represent public companies in PIPEs
- Represent public companies in mergers and acquisitions
- Represent public companies in SEC reporting
- Represent public companies in corporate governance matters
What we're looking for
3-6 years of experience
Experience at a large law firm
Experience working on public and private debt and equity offerings
Experience with Securities Exchange Act of 1934 reporting
Experience advising clients on day-to-day governance matters including SEC and stock exchange compliance
Experience with public company disclosure obligations
Admitted to the Texas State Bar
