The role
Winston Taylor seeks an Investment Funds Mid-Level Associate with 4-6 years of experience to join their M&A practice in Chicago. The role focuses on private equity fund formation and related transactional work.
What you'll do
- Assist private equity fund sponsors on fund formation matters
- Prepare and negotiate fund private placement memoranda, partnership agreements and related ancillary agreements
- Review fund documentation on behalf of institutional investors and negotiate fund terms
- Structure and draft governing documents pertaining to private equity fund management companies and general partners
What we're looking for
4-6 years of experience in private equity fund formation
Experience assisting private equity fund sponsors on fund formation matters
Experience in preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements
Experience reviewing fund documentation on behalf of institutional investors and related negotiation of fund terms
Experience structuring and drafting governing documents pertaining to private equity fund management companies and general partners
Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act
Admitted to the state bar of the office location (Chicago)
Experience preferably at a large law firm or, in special circumstances, an in-house setting· nice to have
Experience with private equity secondary transactions· nice to have
Experience with GP-led restructurings· nice to have
