The role
Winston Taylor is seeking a mid-level Investment Funds Associate with 4-6 years of PQE to join their M&A practice in Charlotte. The role will focus on private equity fund formation and related matters.
What you'll do
- Assist private equity fund sponsors on fund formation matters
- Prepare and negotiate fund private placement memoranda, partnership agreements and related ancillary agreements
- Review fund documentation on behalf of institutional investors
- Negotiate fund terms
- Structure and draft governing documents pertaining to private equity fund management companies and general partners
What we're looking for
4-6 years of experience in private equity fund formation
Experience assisting private equity fund sponsors on fund formation matters
Experience preparing and negotiating fund private placement memoranda, partnership agreements and related ancillary agreements
Experience reviewing fund documentation on behalf of institutional investors and negotiating fund terms
Experience structuring and drafting governing documents pertaining to private equity fund management companies and general partners
Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act
Admission to the state bar of the office location
Experience at a large law firm or in-house setting· nice to have
Experience with private equity secondary transactions· nice to have
Experience with GP-led restructurings· nice to have
