The role
Cooley LLP seeks a Capital Markets Attorney with 2-6 years of PQE for its New York office. This role focuses on securities law, representing companies and underwriters in public offerings and advising public companies on corporate governance and SEC compliance.
What you'll do
- Represent companies and underwriters in public securities offerings, including IPOs and other equity or equity-linked transactions
- Represent public companies in a wide variety of matters including corporate governance and SEC and exchange reporting and compliance
- Manage client relationships and handle the day-to-day demands and work flow requirements of a variety of clients with sophisticated needs
What we're looking for
2-6 years of capital markets and public securities experience
Experience representing companies and underwriters in public securities offerings
Experience representing public companies in corporate governance and SEC reporting and compliance
Experience managing client relationships and handling day-to-day demands and workflow
Experience working in the capital markets department of a national or international law firm
High level of academic achievement from a nationally recognized law school
Experience with a focus on the technology, consumer/retail and life sciences sectors· nice to have
