The role
Cooley is seeking a 3rd-6th year attorney with a focus on private equity and M&A to join their team. This role requires strong transactional skills, excellent client judgment, and the ability to lead as part of a dynamic and team-oriented environment, ideally with prior large firm experience.
What you'll do
- Draft and negotiate purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
- Meet the day-to-day requirements of private equity fund and portfolio company clients
- Play a lead role as an extension of the client business teams
- Work in a team-orientated and dynamic environment
What we're looking for
3-6 years of PQE in private equity and M&A
Excellent drafting, writing and analytical skills
Strong attention to detail

Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
Experience meeting the day-to-day requirements of private equity fund and portfolio company clients
Good business and strategic judgment
Excellent academic credentials
Prior large firm experience working with private equity sponsors
