The role
Cooley seeks a 3rd-6th year attorney with expertise in private equity and M&A to join their team. The ideal candidate will possess strong analytical and drafting skills, experience with transaction documents, and excellent business judgment, playing a lead role in client matters within a team-oriented environment.
What you'll do
- Draft and negotiate purchase and merger agreements
- Draft and negotiate LLC and LP agreements
- Draft and negotiate other ancillary transaction documents
- Meet the day-to-day requirements of private equity fund and portfolio company clients
- Play a lead role as an extension of the client business teams
What we're looking for
3-6 years PQE in private equity and M&A
Excellent drafting, writing and analytical skills
Strong attention to detail
Organizational, verbal, interpersonal and project management skills
Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
Experience meeting day-to-day requirements of private equity fund and portfolio company clients
Good business and strategic judgment
Excellent academic credentials
Prior large firm experience working with private equity sponsors
