The role
Cooley is seeking a 3rd-6th year attorney with private equity and M&A experience. The role requires excellent drafting, writing, and analytical skills, strong attention to detail, and organizational abilities, for work supporting private equity clients.
What you'll do
- Draft and negotiate purchase and merger agreements
- Draft and negotiate LLC and LP agreements
- Draft and negotiate other ancillary transaction documents
- Meet the day-to-day requirements of private equity fund and portfolio company clients
What we're looking for
3-6 years of attorney experience
Private equity and M&A experience
Excellent drafting, writing and analytical skills
Strong attention to detail
Organizational, verbal, interpersonal and project management skills
Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
Experience meeting the day-to-day requirements of private equity fund and portfolio company clients
Good business and strategic judgment
Excellent academic credentials
Prior large firm experience working with private equity sponsors
Play a lead role as an extension of the client business teams· nice to have
