The role
Cooley seeks a 3rd-6th year attorney with private equity and M&A experience to join their team. The role requires strong drafting, negotiation, and analytical skills, with a focus on supporting private equity fund and portfolio company clients.
What you'll do
- Draft and negotiate purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
- Meet the day-to-day requirements of private equity fund and portfolio company clients
- Play a lead role as an extension of the client business teams
What we're looking for
3-6 years PQE
Private equity and M&A experience
Excellent drafting, writing and analytical skills
Strong attention to detail
Organizational, verbal, interpersonal and project management skills
Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
Experience meeting the day-to-day requirements of private equity fund and portfolio company clients
Good business and strategic judgment
Experience playing a lead role as an extension of the client business teams
Experience working in a team-orientated and dynamic environment
Excellent academic credentials
Prior large firm experience working with private equity sponsors
