The role
Cooley seeks a 3rd-6th year attorney with private equity and M&A experience to join their team. The role requires strong drafting, negotiation, and analytical skills, with an expectation for leading transaction document work and acting as an extension of client business teams.
What you'll do
- Draft and negotiate purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
- Meet the day-to-day requirements of private equity fund and portfolio company clients
- Play a lead role as an extension of the client business teams
What we're looking for
3-6 years of PQE
Private equity and M&A experience
Excellent drafting, writing and analytical skills
Strong attention to detail
Organizational, verbal, interpersonal and project management skills
Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents
Meeting the day-to-day requirements of private equity fund and portfolio company clients
Good business and strategic judgment
Prior large firm experience working with private equity sponsors
Excellent academic credentials
