The role
Cooley LLP is seeking an Associate for its Debt Finance practice group with 1 to 3 years of PQE. This role is for candidates with experience representing lenders, borrowers, and private equity sponsors in debt financing transactions, and requires a JD or equivalent and demonstrated high academic achievement.

Demonstrated high academic achievement from a nationally recognized law school
Gained training and development experience at a large law firm
Shown the ability to work on multiple diverse projects simultaneously
Produced work that reflects strong attention to detail
A working knowledge of secured lending transactions· nice to have
Experience in closing transactions· nice to have
Familiarity with drafting documents and issues lists in connection with the same· nice to have
Knowledge of Article 9 of the Uniform Commercial Code· nice to have
Knowledge of acquisition financing (including commitment letters)· nice to have
Knowledge of debt securities offerings (including high yield and/or convertible notes)· nice to have
Knowledge of general corporate law· nice to have
