Debt Finance Attorney: 1st-3rd year at Cooley

The role

Cooley LLP has an opportunity for an Associate in their Debt Finance practice. This role is ideal for candidates with 1 to 3 years of experience in debt financing transactions, representing lenders, borrowers, and private equity sponsors.

What we're looking for

1 to 3 years of experience representing lenders, borrowers and/or private equity sponsors in debt financing transactions

A JD or the equivalent

Demonstrated high academic achievement from a nationally recognized law school

Gained training and development experience at a large law firm

Shown the ability to work on multiple diverse projects simultaneously

Produced work that reflects strong attention to detail

Working knowledge of secured lending transactions· nice to have

Experience in closing transactions· nice to have

Familiarity with drafting documents and issues lists in connection with the same· nice to have

Knowledge of Article 9 of the Uniform Commercial Code· nice to have

Knowledge of acquisition financing (including commitment letters)· nice to have

Knowledge of debt securities offerings (including high yield and/or convertible notes)· nice to have

Knowledge of general corporate law· nice to have
