The role

Ropes & Gray is seeking an Associate with 5+ years of experience to join its Real Estate Funds practice in New York. This role focuses on advising on the structuring, formation, and management of real estate funds, including co-investment vehicles and other real estate investment products.

What you'll do

• Represent real estate fund sponsors and investors in transactions and negotiations
• Advise clients on the formation, structuring, and management of open-end and closed-end real estate funds
• Lead teams during fundraising processes for real estate funds
• Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and co-investment vehicle documents
• Conduct legal research and analyze regulatory requirements affecting real estate funds and related products
• Coordinate with clients, investors, and service providers to facilitate fund closings
• Prepare and review disclosure documents and investor communications
• Support due diligence processes for real estate acquisitions and investments
• Identify and resolve legal issues related to fund operations, management, and investor relations
• Monitor changes in laws and regulations affecting real estate funds, co-investment vehicles, and real estate products
• Use AI technologies responsibly and ethically to enhance legal research and document review
• Work with colleagues in tax, real estate, finance, and regulatory practices
• Supervise junior team members
• Help partners maintain existing client relationships
