Associate (3 - 6 years)

The role

The Employment team within the Employment, Executive Compensation & Benefits practice group seeks a lateral associate with 3-6 years of experience in employment matters related to corporate transactions. This role is for associates with substantial experience in private equity and M&A deals, focusing on employment aspects and dispute matters, to join the Boston office.

What you'll do

• Work on the employment aspects for all types of transactions involving private equity clients and strategic investors
• Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements
• Conduct associated legal research to ensure compliance with applicable state law
• Advise clients on strategic approaches to structuring transactions, market practices and legal considerations on matters such as wage and hour, discrimination, performance, discipline, leave of absence and disability by applying legal principles and judgment to different factual scenarios
• Negotiate principal and ancillary transaction documents, including purchase and sale agreements, disclosure schedules, employee leasing agreements, management restrictive covenant agreements, partnership agreements, limited liability company agreements and employment agreements
• Analyze the legal and factual background of pre-litigation disputes and litigation matters
• Develop case strategy
• Prepare and finalize drafts of court and agency filings and responses to same
